Janjuas Overseas Approves Key Resolutions; Major H.S. Janjua Named CMD

The Board of Directors of Janjuas Overseas Limited, a Mohali-based company listed on BSE, has approved several key resolutions at its recent board meeting.

Among the major decisions, the Board approved the appointment of Major Harjinder Singh Janjua (Retd.), currently serving as Managing Director, as the Chairman and Managing Director (CMD) of the company.

Providing details, Director Harmanpreet Singh Janjua informed that the Board has also approved subscribing to the Rights Issue of shares of Janjua Innovative Agro Private Limited. The cut-off date has been fixed as March 6, 2026, and the company’s accounts will remain closed from March 7 to March 18, 2026. E-voting for the Extraordinary General Meeting (EGM) will open at 9:00 AM on March 15, 2026, and close at 5:00 PM on March 17, 2026.

The Board further approved the reappointment of Independent Director Narendra Singh. Additionally, the Board has called an Extraordinary General Meeting (EGM) on March 18, 2026, at the company’s corporate office located at 545, Jubilee Walk, Sector 70, Mohali, where shareholders will seek approval for the resolutions passed during the board meeting.

Profile: Major Harjinder Singh Janjua (Retd.)

Major Harjinder Singh Janjua (Retd.), who is set to take over as Chairman and Managing Director of Janjuas Overseas Limited, brings with him 36 years of experience in managing companies as a Managing Director.

During his service in the Indian Army, he served along the Line of Control in Jammu & Kashmir, Assam, and the Punjab border, and participated in counter-insurgency operations in Mizoram and Tripura. He was also part of airborne operations in the Maldives under Operation Cactus in 1988.

Born on September 18, 1957, in New Delhi, Major Janjua is an alumnus of the National Defence Academy (1976), where he was awarded the Commandant’s Silver Medal, and CME (1978), where he received the Silver Grenade. He was granted premature retirement from the Indian Army in 1990 under a permanent low medical category.

Following his retirement, he entered the business sector and is the Promoter and Managing Director of Janjua Air Limited. He also serves as Promoter/Director of HS Janjua Aeroinfra Private Limited and HS Janjua Innovate Agro Private Limited.

Academically, he holds a B.Sc. (1976), a Degree in Mechanical Engineering (1984), AMIE (1986), MIE, and Chartered Engineer (India) qualification (2026).

His wife, Maninder Kaur Janjua, has been a constant source of support throughout his journey. His son, Harmanpreet Singh Janjua, is also serving as a Director in the company.
